Novation of MINDS to MINDSG LTD

We wish to inform you that as part of an internal restructuring exercise, the Movement for the Intellectually Disabled of Singapore (MINDS) intends to novate, with effect from the Effective Date (as defined below), all rights, interests, benefits, duties and obligations thereunder to MINDSG Ltd.

Our Vision and Mission to support PWIDs and their caregivers remain unchanged. All our current services will continue without disruption.

This transfer will be effective from 1 Apr 2023 (“Effective Date”).

We will continue to be known as “MINDS” and our logo remains unchanged, however, our legal entity will be a CLG that is registered under ACRA with the name “MINDSG Ltd”. All billings, invoices, notices in respect of future donations should be addressed to or issued for the attention of:

When MINDS was formed in 1962, the most commonly used legal structure for a charitable organisation then, was a society. Since then we have grown into one of the largest charities in Singapore, employing more than 800 staff. MINDS is on an amazing growth journey to ensure that relevant and meaningful services continue to be rolled out to not only existing clients but also the unserved and underserved PWIDs in the community.

To further strengthen our ability to deliver services with agility, maintain strong corporate governance and balance risk exposure to members, the Board and Management have studied this issue carefully, consulted with other charities that have taken this path, and concluded that it is in the best interest of MINDS to transition its legal structure from that of a society to a Company Limited by Guarantee (“CLG”). Key benefits include flexibility and ease of operations and better governance.

MINDSG LTD will have new bank accounts in operation from 1 April 2023.
